Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, learning platforms, applications, and services (collectively, the “Services”) provided by Fluenco Academy, with registered offices at Calle Lourdes 87, Zacautizco, Benito Juárez, C.P. 03550, Mexico City, Mexico (“Fluenco”, “we”, “us”, or “our”).

By creating an account, signing a corporate order form, or otherwise using the Services, you (“you”, the “User”, or the “Client”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

Fluenco provides Digital Language Assessment and Training services, including:

• Online proficiency assessments mapped to the CEFR (Common European Framework of Reference for Languages);
• Small-group, instructor-led English and Spanish lessons delivered via live videoconference;
• Self-study content, exercises, and reporting dashboards for learners and corporate stakeholders;
• Ancillary advisory and reporting services.

We may modify, suspend, or discontinue features at any time, provided that any material reduction in functionality contracted by a paying corporate client will be communicated in writing.

You agree to provide accurate, current information when registering and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly at info@fluencoacademy.com if you suspect unauthorized access.

You agree not to:

• use the Services for any unlawful, fraudulent, or harmful purpose;
• attempt to gain unauthorized access to the Services or related infrastructure;
• interfere with, disrupt, or impair the integrity or performance of the Services;
• reverse-engineer, decompile, or attempt to extract source code from the Services;
• record, screen-capture, or redistribute live lessons or proprietary materials without our prior written consent;
• upload viruses, malware, or any code designed to disrupt the Services or any other user’s experience.

All content made available through the Services — including but not limited to course materials, lesson scripts, assessment items, scoring algorithms, audio and video recordings, software, designs, the “Fluenco Academy” name and logo, and any derivative works — is the exclusive property of Fluenco Academy or its licensors and is protected by Mexican and international intellectual-property laws.

Subject to your compliance with these Terms and your timely payment of all applicable fees, Fluenco grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal learning and business purposes only.

No other rights, express or implied, are granted to you. You may not reproduce, distribute, publicly display, modify, create derivative works of, sell, or commercially exploit any part of the Services or its content without Fluenco’s prior written permission.

Fees, billing terms, and renewal conditions for corporate clients are set out in the applicable order form, statement of work, or invoice. Unless otherwise agreed in writing, invoices are payable within 30 days of issuance, in the currency stated, and free of any deduction or set-off.

Individual learners (if any) are billed according to the published pricing displayed on the Services at the time of purchase.

Each party agrees to keep confidential the non-public information disclosed by the other in connection with these Terms and to use it solely for the purpose of performing under these Terms. This obligation survives termination.

Our processing of personal data is governed by our Privacy Policy and, where Fluenco processes personal data on behalf of a corporate Client, by our Data Processing Agreement (DPA), which is incorporated by reference.

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available”. Fluenco disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Fluenco does not warrant that the Services will be uninterrupted, error-free, or will achieve any specific result.

To the maximum extent permitted by applicable law, Fluenco’s aggregate liability for any and all claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by the User to Fluenco in the twelve (12) months preceding the event giving rise to the claim. In no event shall Fluenco be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, or data, even if advised of the possibility of such damages.

These Terms are effective until terminated. We may suspend or terminate your access immediately and without notice if you breach these Terms. Either party may terminate a corporate engagement in accordance with the applicable order form. Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination (e.g., Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Governing Law) will survive.

These Terms are governed by and construed in accordance with the laws of the United Mexican States, without regard to its conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts located in Mexico City, Mexico, and each party irrevocably waives any objection to such venue.

We may update these Terms from time to time. Material changes will be communicated by email or through the Services at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
